These Terms & Conditions (“Terms”) govern your access to and use of the websites, products, programs, memberships, events, workshops, software, educational materials, consulting services, marketing services, and other services provided by the applicable Lisa Faast business entity, including:

  • Lisa Faast Membership, d/b/a DiversifyRx, which operates DiversifyRx and Pharmacy Badass University and provides membership, business education, consulting, marketing, software, resources, and related services;
  • Lisa Faast Events, d/b/a Pharmacy Profit Summit, which operates the Pharmacy Profit Summit and related events; and
  • Lisa Faast Education, which may provide educational programs, trainings, workshops, courses, and related services.

These entities are collectively referred to in these Terms as “DiversifyRx,” “Company,” “we,” “us,” or “our” when appropriate. The specific entity responsible for a purchase or Service will be the entity identified on the applicable checkout page, invoice, registration, agreement, or other purchase documentation.

Our products and services include, but are not limited to, Pharmacy Badass University (“PBU”), Pharmacy Profit Summit (“Summit”), workshops and training events, business consulting and coaching, digital marketing, marketing and operational resources, software and SaaS products, AI tools and resources, content creation, digital products, and related services (collectively, the “Services”).

By purchasing, accessing, registering for, or using any of our Services, you agree to these Terms.

If you do not agree with these Terms, do not purchase or use our Services.


1. Eligibility & Authority

You must be at least eighteen (18) years old to purchase or use our Services.

If you purchase or use our Services on behalf of a pharmacy, corporation, LLC, partnership, or other organization, you represent that you have authority to enter into these Terms on behalf of that organization.

You are responsible for ensuring that employees, team members, contractors, or other individuals to whom you provide authorized access to our Services comply with these Terms.


2. Accounts & Access

You are responsible for maintaining the confidentiality and security of your account credentials.

Accounts, memberships, course access, software access, and other login credentials may not be shared outside of the individuals or staff members specifically authorized under your purchased Service or membership level.

You are responsible for all activity occurring through your account.

You must notify DiversifyRx promptly if you become aware of unauthorized access to or use of your account.

We may suspend access when we reasonably believe an account has been compromised, shared improperly, used fraudulently, or used in violation of these Terms.


3. Educational Information — No Professional Advice

DiversifyRx provides business education, coaching, training, resources, templates, tools, examples, strategies, and other educational information primarily for independent pharmacy owners and their teams.

Unless expressly stated otherwise, information provided through DiversifyRx is for educational and informational purposes only.

Nothing provided by DiversifyRx should be interpreted as individualized legal, medical, clinical, accounting, tax, financial, employment, regulatory, or other licensed professional advice.

Laws, regulations, payer requirements, professional standards, clinical guidance, reimbursement rules, and business conditions change frequently and may vary by state, jurisdiction, pharmacy type, payer, product, and individual circumstances.

You are responsible for independently determining whether any strategy, service, protocol, product, marketing approach, clinical service, billing practice, AI-generated material, or business recommendation is appropriate and lawful for your pharmacy.

When appropriate, you should consult qualified legal counsel, accountants, tax professionals, compliance professionals, medical professionals, regulatory authorities, or other appropriate advisors before implementation.

Participation in a DiversifyRx program or event does not create a pharmacist-patient, physician-patient, attorney-client, accountant-client, fiduciary, or similar professional relationship.

Unless expressly advertised for a particular program, participation in DiversifyRx educational programs does not constitute continuing education credit or professional certification.


4. Regulatory & Pharmacy Compliance

You are solely responsible for operating your pharmacy and business in compliance with all applicable federal, state, and local laws, regulations, professional standards, licensing requirements, board of pharmacy requirements, DEA requirements, FDA requirements, payer requirements, advertising laws, privacy requirements, and other applicable rules.

DiversifyRx may discuss regulatory topics, compliance strategies, reimbursement opportunities, clinical services, compounding, cash-based services, peptides, hormone therapy, testing, AI, marketing, and other evolving areas of pharmacy practice.

Such discussions are educational and do not constitute a representation that a particular activity is legal or appropriate in every jurisdiction or circumstance.

You remain responsible for performing your own legal, regulatory, clinical, and operational review before implementing any strategy discussed through our Services.


5. Privacy, HIPAA & Protected Health Information

Our Privacy Policy describes how we collect, use, disclose, and protect personal information and is incorporated into these Terms by reference.

You should not submit, upload, transmit, post, or disclose protected health information (“PHI”), patient-identifiable information, or other legally protected information through a DiversifyRx community, AI tool, support channel, shared document, software platform, workshop, coaching call, or other Service unless DiversifyRx has expressly identified that particular Service as appropriate for such information and all legally required agreements and safeguards are in place.

Participation in a DiversifyRx membership, program, workshop, or Service does not, by itself, establish a Business Associate Agreement (“BAA”) between DiversifyRx and your pharmacy.

You are responsible for de-identifying patient information when discussing examples, cases, workflows, or business situations through our Services unless the applicable Service has expressly been approved for PHI.


6. AI Tools & AI-Generated Content

Certain DiversifyRx Services may include artificial intelligence tools, automations, AI-generated content, prompts, applications, workflows, recommendations, images, videos, documents, or other AI-assisted resources.

AI-generated output may contain errors, omissions, inaccuracies, outdated information, or inappropriate recommendations.

AI-generated content should not be relied upon without appropriate human review.

You are responsible for reviewing and approving AI-generated materials before using them in your pharmacy, business, clinical operations, advertising, patient communications, regulatory activities, or other applications.

DiversifyRx does not guarantee the accuracy, legality, regulatory compliance, clinical appropriateness, or performance of AI-generated output.

You are also responsible for determining whether information you provide to any AI or third-party technology platform is appropriate to submit under applicable privacy and confidentiality requirements.


7. Communications & Consent

By providing your contact information to DiversifyRx, you agree that we may contact you regarding your account, purchases, memberships, registrations, Services, events, support requests, and other business-related matters.

Depending upon the consent you provide, communications may occur through email, telephone, SMS/text messaging, automated messaging systems, AI-assisted communications, or other electronic methods.

Marketing consent is not a condition of purchasing our Services unless specifically stated otherwise.

You may unsubscribe from marketing emails using the unsubscribe link contained in those emails.

You may opt out of marketing text messages by following the opt-out instructions contained in the message, including replying STOP where applicable.

Opting out of marketing communications does not prevent us from sending transactional, account, billing, event, security, or service-related communications that are reasonably necessary to provide a Service you purchased.

Message and data rates may apply. Message frequency may vary.

DiversifyRx is not responsible for delays, delivery failures, filtering, blocking, interception, or other issues caused by telecommunications providers, email providers, mobile carriers, spam filters, or third-party communication platforms.


8. Intellectual Property

A. DiversifyRx Proprietary Materials

DiversifyRx owns or licenses the intellectual property associated with its Services, including but not limited to:

  • Courses
  • Trainings
  • Videos
  • Presentations
  • Recordings
  • Templates
  • Workbooks
  • SOP frameworks
  • Business systems
  • Coaching materials
  • Marketing frameworks
  • Profit strategies
  • AI prompts and prompt libraries
  • AI applications and systems
  • Software
  • Source code
  • Workflows
  • Methodologies
  • Graphics
  • Written materials
  • Event materials
  • Branding
  • Trademarks
  • Logos
  • Proprietary processes

Your purchase or membership does not transfer ownership of these materials to you.

Unless otherwise stated, you receive a limited, non-exclusive, non-transferable license to use applicable materials within your own pharmacy or business for their intended purpose.

You may not sell, sublicense, publish, distribute, reproduce for commercial distribution, teach, share outside your organization, upload to a shared public repository, or otherwise commercially exploit DiversifyRx proprietary materials without written permission.

B. Customized Materials Created for Your Business

When DiversifyRx creates a customized marketing piece, SOP, document, graphic, workflow, or other finished deliverable specifically for your pharmacy or business, you may continue to use that finished deliverable within your own business after delivery unless otherwise stated.

DiversifyRx retains ownership of the underlying templates, methods, frameworks, software, prompts, source code, systems, processes, design systems, and other proprietary intellectual property used to create the customized deliverable.

Receiving a customized deliverable does not give you the right to resell, sublicense, commercially distribute, or provide DiversifyRx's underlying systems or intellectual property to third parties.

C. Content You Provide to Us

You retain ownership of logos, photographs, trademarks, written content, videos, data, and other materials that you legally own and provide to DiversifyRx.

You grant DiversifyRx permission to use those materials as reasonably necessary to provide the Services you requested.

You represent that you have the legal right to provide those materials to us and authorize their use.

DiversifyRx may use anonymized or de-identified examples of work performed through our Services for educational, analytical, training, or marketing purposes.


9. PBU Community & Member Conduct

Pharmacy Badass University and other DiversifyRx programs may include private communities, group discussions, coaching calls, office hours, masterminds, live trainings, and member-to-member interaction.

Members are expected to participate professionally and respectfully.

You may not:

  • Harass, threaten, bully, or abuse another member or staff member;
  • Post discriminatory, defamatory, fraudulent, or unlawful content;
  • Spam or repeatedly solicit members without permission;
  • Scrape, harvest, or commercially use member information;
  • Share another member's confidential business information outside the community;
  • Screenshot or distribute private conversations in a manner that violates another person's confidentiality or privacy;
  • Record private coaching calls, mastermind sessions, confidential sessions, or restricted event sessions without permission;
  • Share paid materials with non-members;
  • Share account credentials outside authorized users;
  • Use the community primarily to market competing products or services without authorization; or
  • Engage in conduct that materially interferes with the community or another member's participation.

Members frequently discuss confidential business information, pricing, vendors, operations, financial performance, strategies, employees, and other sensitive topics.

You agree to use reasonable discretion and respect the confidentiality of information another member clearly identifies as confidential or that a reasonable business owner would understand to be confidential.

DiversifyRx may moderate, remove, restrict, suspend, or terminate access for conduct that violates these Terms or materially disrupts the community.


10. Acceptable Use

You may not use our Services to:

  • Violate any law or regulation;
  • Infringe intellectual property, privacy, publicity, contractual, or other rights;
  • Engage in fraudulent, deceptive, misleading, or unlawful marketing;
  • Distribute malware, viruses, malicious code, or harmful technology;
  • Attempt to gain unauthorized access to our systems or another user's account;
  • Reverse engineer or improperly copy proprietary software or AI applications;
  • Resell Services without written authorization;
  • Falsely represent an affiliation with DiversifyRx;
  • Share restricted content or credentials;
  • Use our Services to engage in harassment, discrimination, threats, or illegal activity; or
  • Use DiversifyRx materials in a way that creates an unreasonable risk to patients, consumers, members, or third parties.

11. Payments & General Billing Terms

Certain Services require recurring subscription payments, one-time payments, event registration fees, workshop fees, or other charges.

By purchasing a Service, you authorize the applicable Lisa Faast business entity and its payment processors to charge the payment method you provide for the price and billing frequency disclosed at checkout.

The entity responsible for your transaction may vary depending upon the Service purchased. Membership and DiversifyRx Services may be provided by Lisa Faast Membership, d/b/a DiversifyRx, Pharmacy Profit Summit transactions may be provided by Lisa Faast Events, d/b/a Pharmacy Profit Summit, and certain educational programs may be provided by Lisa Faast Education.

Unless a specific refund policy stated below or at the time of purchase applies, fees are non-refundable.

You are responsible for providing accurate and current billing information.

If a payment fails, is declined, disputed, reversed, or becomes past due, we may suspend or terminate access to the applicable Service until payment is resolved.

You remain responsible for legitimate amounts owed under your purchase or subscription.


12. Subscriptions & Automatic Renewal

Subscription Services, including applicable Pharmacy Badass University memberships, automatically renew at the billing interval selected during enrollment unless canceled before the next renewal charge.

You may cancel a cancel-anytime subscription to prevent future renewal charges.

Cancellation and refund eligibility are different things.

Canceling a subscription stops future renewal charges. It does not automatically create a right to a refund of payments already processed.

Except where the PBU 90-Day Money-Back Guarantee or another written refund policy applies, membership and subscription fees already charged are non-refundable and are not prorated for partial billing periods.

When a subscription is canceled outside an applicable refund period, access generally continues through the end of the paid billing period unless otherwise stated.

DiversifyRx may change subscription pricing or features from time to time. We will provide notice of material pricing changes before they apply to a future renewal when required by applicable law.


13. Pharmacy Badass University 90-Day Money-Back Guarantee

Pharmacy Badass University is a program of Lisa Faast Membership, d/b/a DiversifyRx.

New Pharmacy Badass University memberships are covered by a 90-Day Money-Back Guarantee.

If you determine that PBU is not a fit for you, you may request a refund within ninety (90) calendar days of your initial paid PBU enrollment date.

A qualifying request received during the initial 90-day guarantee period is eligible for a refund of 100% of the PBU membership fees paid for that initial enrollment.

No partial-use deduction, cancellation fee, or penalty will be applied to an otherwise qualifying PBU guarantee request.

The guarantee applies to PBU membership fees only.

It does not automatically apply to separately purchased:

  • Pharmacy Profit Summit tickets;
  • Workshops;
  • Specialty training events;
  • Physical products;
  • Digital products sold separately from PBU;
  • Third-party products or services; or
  • Other purchases not included as part of the applicable PBU membership.

Those purchases are governed by their applicable refund policies.

Initial Enrollment Only

The PBU 90-Day Money-Back Guarantee applies to your initial paid enrollment in Pharmacy Badass University.

The 90-day guarantee period does not restart because of:

  • Changing membership tiers;
  • Upgrading or downgrading a membership;
  • Canceling and later re-enrolling;
  • Changing the pharmacy or business associated with an account; or
  • Otherwise modifying an existing or prior membership.

Once the initial 90-day guarantee period expires, PBU membership payments are non-refundable.

Members may still cancel their membership at any time to prevent future renewal charges.

If a refund is issued under the 90-Day Money-Back Guarantee, access to PBU and its membership benefits may end when the refund is approved or processed.

Benefits included with a PBU membership that have no separately stated purchase price do not have an independent cash refund value.


14. Pharmacy Profit Summit Tickets

Pharmacy Profit Summit tickets are offered and sold by Lisa Faast Events, d/b/a Pharmacy Profit Summit.

A. Attendee Eligibility

Unless otherwise approved by DiversifyRx or Pharmacy Profit Summit, Pharmacy Profit Summit attendee tickets are intended for independent pharmacy owners and employees of independent pharmacies.

Vendors, suppliers, consultants, service providers, or companies primarily selling products or services to pharmacies may not purchase attendee tickets for the purpose of avoiding exhibitor or sponsor registration requirements.

We may cancel an ineligible attendee registration. A person who knowingly misrepresents their eligibility may forfeit their registration and event access.

B. Pre-Event Cancellation & Refund Policy

The Pharmacy Profit Summit pre-event cancellation policy is based on the date we receive the written cancellation request.

Through December 31 of the calendar year immediately preceding the Summit:
100% of the attendee ticket price is refundable.

Beginning January 1 and continuing until twenty-eight (28) calendar days before the first scheduled day of the Summit:
50% of the attendee ticket price is refundable.

Fewer than twenty-eight (28) calendar days before the first scheduled day of the Summit:
No cancellation refund is available.

For example, for a Summit held in 2027, a cancellation request received on or before December 31, 2026 qualifies for a full attendee ticket refund.

Beginning January 1, 2027, the attendee ticket qualifies for a 50% refund provided the request is received at least twenty-eight (28) calendar days before the first day of the Summit.

No pre-event cancellation refund is available within twenty-eight (28) calendar days of the Summit.

The pre-event cancellation policy is completely separate from the Pharmacy Profit Summit Happiness Guarantee described below.


15. Pharmacy Profit Summit Happiness Guarantee

We stand behind the Pharmacy Profit Summit with a separate Happiness Guarantee for qualifying attendees who actually attend the event.

The Happiness Guarantee is an after-attendance satisfaction guarantee, not a pre-event cancellation policy.

To qualify for the Pharmacy Profit Summit Happiness Guarantee, an attendee must:

  1. Attend both full scheduled days of the Pharmacy Profit Summit; and
  2. If the attendee believes the Summit did not provide the value promised, request the Happiness Guarantee from a Pharmacy Profit Summit or DiversifyRx team member before leaving the Summit on the final day of the event.

An attendee who satisfies these requirements and invokes the Happiness Guarantee will be eligible to receive:

A full refund of the amount actually paid for that attendee's eligible Summit ticket, PLUS an additional $500.

The request must be made before the attendee leaves the Summit on the final day.

Requests submitted after the attendee has left the Summit are not eligible for the Happiness Guarantee.

Requests submitted after the Summit has concluded are not eligible.

Attendees who do not attend both full days are not eligible for the Happiness Guarantee, regardless of the reason they were unable to attend.

An attendee who cancels before the Summit or does not attend remains subject to the Pre-Event Cancellation & Refund Policy and may not use the Happiness Guarantee to avoid the four-week cancellation deadline.

The Happiness Guarantee applies only to eligible paid attendee tickets unless a specific promotional offer expressly states otherwise.

Complimentary tickets, sponsor tickets, promotional tickets, membership-included tickets, or other tickets for which no separate attendee ticket price was paid have no cash ticket-refund value under the Happiness Guarantee unless expressly stated otherwise.

We may require an attendee invoking the Happiness Guarantee to complete a brief refund request form before departing the Summit so that the request can be documented and processed.


16. Workshops & Specialty Training Events

This section applies to paid two-day workshops and specialty training events offered by Lisa Faast Membership, Lisa Faast Education, Lisa Faast Events, or another applicable Lisa Faast business entity, including programs such as AI workshops, peptide workshops, and similar intensive training events, unless different refund terms are expressly disclosed for the specific event at the time of purchase.

If we receive a written cancellation request at least twenty-eight (28) calendar days before the first scheduled day of the workshop, the registrant may receive a refund of the registration amount paid less any credit-card or payment-processing fees actually incurred in connection with the transaction and refund.

If a cancellation request is received fewer than twenty-eight (28) calendar days before the first scheduled day of the workshop, no refund is available.

Failure to attend, scheduling conflicts, travel issues, staffing problems, pharmacy coverage problems, illness, or other personal circumstances do not create an exception to the refund deadline unless we expressly agree otherwise or applicable law requires otherwise.

Registration transfers to another eligible attendee may be permitted at our discretion.


17. Digital Products, Recordings, Downloads & On-Demand Content

Unless expressly stated otherwise at the time of purchase, separately purchased digital products are final sale and non-refundable once access has been delivered or made available.

This may include:

  • Digital courses;
  • Recordings;
  • Templates;
  • Downloads;
  • Toolkits;
  • Playbooks;
  • Prompt libraries;
  • Digital workbooks;
  • On-demand training;
  • Electronic resources; and
  • Other immediately accessible digital materials.

This provision does not limit the PBU 90-Day Money-Back Guarantee when those digital resources are provided as part of an eligible PBU membership.


18. Physical Products & Returns

Workbooks, newsletters, printed materials, promotional materials, event materials, swag, or other physical items included as part of a membership, Summit ticket, workshop registration, or educational program have no separate cash refund or return value.

Unless a different return policy is expressly stated at the time of purchase, separately purchased physical products are final sale except when an incorrect item is shipped or an item arrives materially damaged.

If you receive a materially damaged or incorrect separately purchased physical product, contact DiversifyRx promptly with information sufficient for us to review the issue.

When appropriate, we may replace the item or provide another reasonable remedy.


19. How to Request a Cancellation or Refund

Unless a different process is expressly provided for a specific Service, written cancellation and refund requests may be submitted to:

Please include:

  • Purchaser's full name;
  • Pharmacy or company name;
  • Email address used for the purchase;
  • The membership, event, workshop, or product involved; and
  • A brief description of the request.

Refund eligibility is based on the date the request is received.

Approved refunds will generally be returned to the original payment method whenever reasonably possible.

Banks, card issuers, and payment processors may require additional time to post an approved refund.

The Pharmacy Profit Summit Happiness Guarantee has its own in-person request deadline and must be invoked as described in Section 15.


20. Event Changes, Cancellations & Force Majeure

Event schedules, speakers, presentations, topics, venues, activities, meals, sponsors, exhibitors, and other program elements are subject to change.

A change in speaker, agenda, topic, session order, exhibitor, sponsor, or similar program component does not by itself create a right to a refund.

If we cancel an event and do not reschedule it, attendees who purchased registration directly from the applicable Lisa Faast business entity will generally receive a refund of the applicable registration fee paid, unless another remedy is required or agreed upon.

If an event is postponed or rescheduled due to circumstances beyond our reasonable control, registrations may be transferred to the rescheduled event. Any additional options will be communicated to affected attendees.

We are not responsible for airfare, hotels, rental cars, lost wages, pharmacy staffing expenses, travel expenses, childcare, business interruption, or other costs incurred by an attendee in connection with an event, except to the extent otherwise required by law.

We are not liable for delays, changes, postponements, or cancellations resulting from circumstances beyond our reasonable control, including severe weather, natural disasters, acts of government, public health emergencies, labor disruptions, venue failures, transportation interruptions, terrorism, civil unrest, utility failures, internet outages, or similar events.


21. Event Photography, Video & Recording

DiversifyRx and Pharmacy Profit Summit events may be photographed, filmed, livestreamed, or otherwise recorded.

By attending an in-person event, you understand that you may appear incidentally in photographs, videos, audio recordings, livestreams, or other event media.

To the extent permitted by law, you authorize the applicable Lisa Faast business entity to use event photographs and recordings containing your image or likeness for legitimate business, educational, promotional, archival, and marketing purposes without additional compensation.

This provision does not authorize us to falsely attribute statements or endorsements to you.

Certain sessions may be designated confidential or prohibited from recording.

Attendees may not record, livestream, photograph, or distribute restricted sessions or confidential materials when we have stated that recording or photography is prohibited.


22. Third-Party Products, Services & Partners

We may introduce, recommend, feature, negotiate discounts with, or provide access to third-party vendors, exhibitors, sponsors, software providers, wholesalers, consultants, service providers, or other business partners.

Unless expressly stated otherwise, those companies are independent third parties and are not controlled by us.

You are responsible for evaluating whether a third-party product or service is appropriate for your business.

We do not guarantee the performance, pricing, continued availability, regulatory compliance, customer service, financial condition, or results of a third-party provider.

Third-party offers, discounts, pricing, and program terms may change or be discontinued.

Your purchase or use of a third-party product or service may be governed by separate terms between you and that provider.

Information may be shared with Summit sponsors, exhibitors, service providers, or other third parties as described in our Privacy Policy and any applicable registration disclosures.


23. Testimonials, Earnings & Results

DiversifyRx provides strategies designed to help pharmacy owners improve profitability, cash flow, revenue diversification, operations, marketing, leadership, and business performance.

However, we do not guarantee that you will achieve any specific financial or business result.

Testimonials, case studies, examples, revenue figures, profit improvements, savings, cash-flow improvements, pharmacy results, or other success stories represent the experiences of particular individuals or businesses.

They should not be interpreted as a promise or guarantee that you will achieve the same or similar results.

Your results depend on numerous factors outside our control, including your existing business, market, location, implementation, staffing, purchasing, payer mix, competition, regulatory environment, financial condition, decision-making, and effort.

You are responsible for your own business decisions and results.

Any separate Earnings Disclosure published by DiversifyRx is incorporated into these Terms by reference.


24. Availability & Changes to Services

We continually improve and modify our Services.

Features, membership benefits, training schedules, community platforms, technology vendors, software features, partner discounts, resources, coaching schedules, and other components may change over time.

We may add, modify, replace, or discontinue features when reasonably necessary to improve the Service, respond to legal or regulatory changes, address technology limitations, or operate the business.

We do not guarantee that every specific feature, vendor, software tool, coach, speaker, resource, or benefit will remain available indefinitely.

Material changes to a paid Service will be handled in accordance with applicable law and any specific purchase terms.


25. Suspension & Termination

You may stop using our Services at any time, subject to applicable payment, subscription, cancellation, and refund terms.

We may suspend, restrict, or terminate your access if you:

  • Materially violate these Terms;
  • Fail to pay amounts legitimately owed;
  • Engage in fraud or payment abuse;
  • Share accounts or proprietary content improperly;
  • Misuse our Services;
  • Harass members or staff;
  • Create a material security or legal risk;
  • Engage in illegal conduct; or
  • Materially disrupt a DiversifyRx community or event.

When reasonably appropriate, we may provide notice and an opportunity to correct a violation before termination.

Serious misconduct, fraud, threats, illegal activity, intentional intellectual-property theft, or security violations may result in immediate termination.

Termination for violation of these Terms does not automatically create a right to a refund.

Sections concerning intellectual property, confidentiality, payment obligations, disclaimers, limitation of liability, indemnification, dispute resolution, and other provisions that by their nature should survive termination will remain in effect.


26. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

WE DO NOT WARRANT THAT EVERY SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, COMPLETELY SECURE, OR SUITABLE FOR EVERY USER, BUSINESS, JURISDICTION, OR PURPOSE.

WE DO NOT WARRANT OR GUARANTEE ANY PARTICULAR REVENUE, PROFIT, SAVINGS, BUSINESS GROWTH, PATIENT VOLUME, OPERATIONAL IMPROVEMENT, REGULATORY OUTCOME, OR OTHER RESULT.

Nothing in these Terms excludes warranties or rights that cannot legally be excluded.


27. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LISA FAAST MEMBERSHIP, LISA FAAST EVENTS, LISA FAAST EDUCATION, DIVERSIFYRX, PHARMACY BADASS UNIVERSITY, PHARMACY PROFIT SUMMIT, AND THEIR OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, AND AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOST BUSINESS, LOST DATA, LOST OPPORTUNITIES, BUSINESS INTERRUPTION, OR SIMILAR LOSSES ARISING FROM OR RELATED TO THE SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF THE APPLICABLE LISA FAAST BUSINESS ENTITY ARISING OUT OF OR RELATING TO A PARTICULAR SERVICE WILL NOT EXCEED THE TOTAL AMOUNT YOU PAID DIRECTLY TO THAT ENTITY FOR THAT SERVICE DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

For a one-time event, workshop, or product purchase, the applicable cap will not exceed the amount you paid directly for the applicable purchase.

These limitations do not apply where prohibited by law.


28. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless Lisa Faast Membership, Lisa Faast Events, Lisa Faast Education, DiversifyRx, Pharmacy Badass University, Pharmacy Profit Summit, and their respective owners, officers, employees, contractors, agents, affiliates, successors, and assigns from third-party claims, damages, losses, liabilities, and reasonable legal expenses resulting from:

  • Your unlawful use of the Services;
  • Your material violation of these Terms;
  • Your infringement of another person's rights;
  • Content or materials you provide without authorization;
  • Your implementation or use of our materials in violation of applicable law; or
  • Your misuse of our Services.

This provision does not require you to indemnify any Company entity for liability resulting solely from that entity's own conduct where such indemnification is prohibited by law.


29. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles, except where applicable law requires otherwise.


30. Dispute Resolution & Arbitration

Before initiating formal legal proceedings, you and the applicable Lisa Faast business entity agree to make a reasonable good-faith effort to resolve disputes informally.

A party asserting a dispute should provide written notice describing the nature of the dispute and requested resolution.

If the dispute cannot be resolved informally, then, to the maximum extent permitted by law, disputes arising out of or relating to these Terms or the Services will be resolved through binding individual arbitration in Texas rather than through a lawsuit in court.

The parties will attempt to mutually agree upon a qualified arbitrator.

If the parties cannot agree upon an arbitrator, the arbitration may be administered through a recognized arbitration provider under its applicable commercial arbitration rules.

The arbitrator may award any individual remedy that would otherwise be available under applicable law, subject to the limitations contained in these Terms to the extent enforceable.

Nothing in this section prevents either party from seeking temporary or emergency equitable relief when reasonably necessary to protect intellectual property, confidential information, account security, or other rights for which immediate relief is legally appropriate.

Nothing in this section prevents either party from bringing an eligible individual claim in small claims court where permitted.


31. Class Action & Jury Trial Waiver

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND THE APPLICABLE LISA FAAST BUSINESS ENTITY AGREE THAT CLAIMS WILL BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF, CLAIMANT, OR CLASS MEMBER IN A CLASS ACTION, COLLECTIVE ACTION, REPRESENTATIVE ACTION, OR OTHER CONSOLIDATED PROCEEDING.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BOTH PARTIES WAIVE THE RIGHT TO A TRIAL BY JURY FOR CLAIMS SUBJECT TO THIS DISPUTE-RESOLUTION AGREEMENT.


32. Chargebacks & Payment Disputes

If you believe a charge is incorrect or you believe you are entitled to a refund, we encourage you to contact us first so we can review and attempt to resolve the issue.

Initiating a chargeback does not expand or replace the refund rights described in these Terms.

We reserve the right to provide these Terms, purchase records, account records, attendance records, communications, delivery records, and other appropriate documentation to payment processors or financial institutions when responding to a chargeback or payment dispute.

Fraudulent or abusive chargebacks may result in suspension or termination of Services.


33. Assignment

You may not transfer or assign your rights under these Terms without our written consent, except as part of a bona fide transfer of your pharmacy or business where we approve the transfer.

Lisa Faast Membership, Lisa Faast Events, or Lisa Faast Education, as applicable, may assign these Terms or rights relating to a particular Service in connection with a merger, acquisition, reorganization, sale of assets, corporate restructuring, transfer of a business line, or similar business transaction.


34. No Waiver

Our failure to enforce a provision of these Terms on one occasion does not waive our right to enforce that provision or another provision in the future.


35. Severability

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law.

When legally permissible, an invalid or unenforceable provision should be interpreted or modified as closely as possible to accomplish its original intent.


36. Entire Agreement & Service-Specific Terms

These Terms, together with our Privacy Policy, applicable checkout terms, written program-specific terms, event-specific terms, order forms, agreements, and other policies expressly incorporated by reference, constitute the agreement governing your use or purchase of the applicable Services.

Certain Services may have additional written terms.

If an event, program, subscription, or product has specific written terms that conflict with these general Terms, the more specific terms will control for that particular purchase to the extent of the conflict.


37. Changes to These Terms

We may update these Terms periodically to reflect changes in our Services, business operations, technology, policies, or applicable legal requirements.

The current version will be posted on our website with an updated effective or “Last Updated” date.

When a change is material and applicable law requires notice, we will provide reasonable notice through an appropriate method.

Your continued use of the Services after updated Terms become effective constitutes acceptance of the updated Terms to the extent permitted by law.
